In this document "we" refers to Logicalware Limited, 23 Manor Place, Edinburgh EH3 7DX, Scotland, UK, and "you" refers to the customer.
Our Obligations to You
We undertake to make reasonable endeavours to ensure that our service and products operate as described on our website. However because the services and products are provided by computer and telecommunications systems there is no guarantee that they will be error free. We also undertake to respect your privacy as set out in our Privacy Policy.
Software Licence
We will give you a non-exclusive, non-transferable licence to use the software that is part of the product or service that you have purchased from us.
Late Payments
If our invoices are not paid within 30 days we reserve the right to charge interest at 3% above the Bank of Scotland's base rate. We may also suspend service by giving 10 days' written notice to your last known address.
Cancellation
You may cancel the service at any time by giving us one month's notice. No refunds will be given in respect of any advanced payments that you may have already made.
VAT
If you are in the United Kingdom you must add VAT (currently 20%) to all prices. In the rest of the European Union you must also add the relevant rate for VAT, unless you are VAT registered and quote your VAT number. Outside the European Union no VAT is payable.
Free Trials
We reserve the right to cancel free trials at any time. We do not offer any guaranteed service levels to free trial customers and accept no liabilities for any loss whatever.
Domain Names
If you have asked us to register a domain name on your behalf then the terms and conditions of the domain name registrar will also apply in addition to these terms. For other domain names please contact your account manager.
Limitation of Liability
For standard customers our liability is limited to the annual fee paid for the product. If the service is being used for critical purposes enhanced Service Level Agreements are available from us offering higher levels of compensation in the event of failure of the service. Under no circumstances will we have responsibility for any indirect or consequential loss or damages.
Acceptable User Policy
You must follow the guidance set out in our Acceptable Use Policy while using our products and services.
Amendments
We reserve the right to amend this agreement at any time by giving 30 days' notice to you. This notice will displayed on our news and emailed to our news mailing list. If you do not agree with the changes you can stop using the service and request a refund of any fees paid for unused service on a pro rata basis.
Enforceability
If any parts of these Terms and Conditions or Acceptable Use Policy are deemed to be unenforceable or invalid then it will not effect the enforceability of any other provision.
Jurisdiction
These terms will be governed by Scots Law and subject to the exclusive jurisdiction of the courts of Scotland.
